HCLSoftware, the software division of Indian IT group HCLTech, said on September 28, 2026 that it had agreed to acquire Robotiq.ai, a Zagreb, Croatia-based company that makes enterprise robotic process automation (RPA) software.

HCLTech told the National Stock Exchange of India and BSE in a filing the same day that the deal values Robotiq.ai at an enterprise value of €9 million (about $10.4 million), to be paid in cash and adjusted after closing for net debt and working capital, Angel One reported. HCL Technologies Austria GmbH, an HCLTech subsidiary, will buy 100% of Robotiq.ai's shares.

The deal is expected to close by the end of November 2026. HCLTech said it does not need government or regulatory approval and is not a related-party transaction. Robotiq.ai's technology will become part of HCL UnO Agentic, HCLSoftware's platform for orchestrating AI agents.

What Robotiq.ai built

Robotiq.ai sells an RPA platform used to automate repetitive, manual processes across business applications. HCLSoftware said its value lies in applications where APIs are unavailable or insufficient, which AI-driven workflows otherwise struggle to reach.

HCLSoftware said the platform is used by large banks, insurance groups and telecom operators, and is built with ISO-certified security, audit logs and flexible deployment options. It did not name any customers.

Darko Jovišić is the company's co-founder and chief executive. Robotiq.ai was incorporated on August 21, 2018, according to the exchange filing as reported by Angel One.

“We built Robotiq.ai on a simple belief: automation should be useful, fast to deploy, and reliable in production. Joining HCLSoftware gives our technology the enterprise reach, scale, and platform.”Darko Jovišić, CEO & Co-founder, Robotiq.ai

A small business at a small price

The filing gives an unusually detailed view of a startup sale. Robotiq.ai had revenue of €0.9 million (about $1 million) in both 2023 and 2024, rising to €1.4 million (about $1.6 million) in 2025, Angel One reported. It made a profit after tax of €0.2 million (about $230,000) in 2025 and had a net worth of €0.8 million (about $930,000) at the end of that year.

At €9 million, HCLSoftware is paying a little over six times Robotiq.ai's 2025 revenue. No outside funding rounds or investors for Robotiq.ai have been reported, and its headcount was not disclosed.

Why HCLSoftware is buying

HCLSoftware said it is seeing growing demand from companies for AI systems that not only reason about a task but also carry it out reliably across complex business software. Adding RPA lets workflows orchestrated by HCL UnO Agentic automate steps inside applications that lack a suitable API, extending the platform from making decisions to executing them.

Kalyan Kumar, president of HCLSoftware, said enterprises are moving past experiments with AI toward automation in production that is secure, governed and reliable, and that Robotiq.ai would combine orchestration with enterprise-grade execution for customers deploying agentic AI.

HCLSoftware says it serves more than 20,000 organisations, including most of the Fortune 100 and almost half of the Fortune 500. Jovišić said joining HCLSoftware would give Robotiq.ai's technology enterprise reach and scale.

The terms in the filing

The structure of the deal is simple. HCLTech, whose shares trade on the National Stock Exchange of India and BSE, will pay cash rather than issue shares, and the buyer is HCL Technologies Austria GmbH, a wholly owned step-down subsidiary, rather than the listed parent itself. The €9 million figure is an enterprise value, so the final amount paid for the shares will depend on Robotiq.ai's net debt and working capital at closing.

Because HCLTech is listed, it had to report the target's recent financial results to the exchanges, which is why revenue, profit and net worth figures for a company of Robotiq.ai's size are public. The filing also said the deal does not need government or regulatory approval.

What happens next

Neither company has said whether Robotiq.ai will continue to sell its platform as a standalone product after the deal closes, or what role Jovišić will take inside HCLSoftware. Jovišić said that, together with HCLSoftware, customers would get automation that does not stop at a single task but becomes part of an orchestrated, governed process across the enterprise.
