Metaplanet buys bond platform Siiibo Securities for ¥2.1 billion ($13.1 million)

The Tokyo-listed bitcoin holder paid mainly for a licence: Siiibo's Type I registration lets Metaplanet design and sell investment products, including planned bitcoin-linked bonds, to Japanese retail investors.

Metaplanet, the Tokyo-listed company that holds bitcoin as its main treasury asset, agreed on June 12, 2026 to acquire all of Siiibo Securities, a Japanese online platform for privately placed corporate bonds. The price was about 2.1 billion yen (about $13.1 million).

Metaplanet said it would pay from cash on hand and borrowings, with the option of drawing on bitcoin-backed credit facilities that carry total borrowing capacity of up to $500 million. The deal was expected to close on July 13, 2026, and Bitcoin Treasuries later reported that it closed that day. Siiibo Securities was to be renamed Metaplanet Securities Inc. after closing.

The acquisition was the first major transaction under Project Nova, Metaplanet's medium- to long-term plan to build a bitcoin-based financial services business in Japan on top of its treasury holdings.

What Siiibo built

Siiibo Securities was founded in January 2019. It runs an online platform that lets individual investors buy private placement corporate bonds, a part of the market that had mostly been limited to institutions and wealthy individuals. Companies use the platform to raise debt directly from retail investors.

Before the deal Siiibo had worked with more than 40 bond issuers and arranged more than 100 bond offerings. Its chief executive is Kazuki Komura.

The most valuable part of the business for Metaplanet is regulatory. Siiibo holds a Type I Financial Instruments Business Operator registration, the licence Japanese law requires to structure and distribute financial products to retail investors. Metaplanet did not hold one before.

The funding

Siiibo raised money from Japanese venture investors over several rounds. Technology news site THE BRIDGE reported an early round backed by East Ventures in January 2020, a Series A of 220 million yen (about $2 million) in April 2020, and a Series B of 550 million yen (about $4.8 million) led by DNX Ventures in December 2021. STRIVE and the Chiba Dojo fund were also reported as investors in 2021.

In April 2025 Siiibo Securities announced another round, whose size was not given in the headline; THE BRIDGE reported that it brought cumulative funding to about 1.6 billion yen (roughly $11 million). Siiibo's headcount was not disclosed, and Bitcoin Treasuries described the business as small and loss-making at the time of the sale.

Why Metaplanet is buying

Metaplanet held 40,177 bitcoin as of May 31, 2026, with a net asset value of 457.6 billion yen, making it the third-largest corporate holder of bitcoin worldwide and the largest in Asia. Project Nova is meant to turn that balance sheet into the base of a financial services business rather than leaving it as a reserve.

The company listed four expected benefits. It plans to sell Siiibo's existing bond products to its roughly 250,000 shareholders. It intends to create bitcoin-linked financial products, including bonds linked to bitcoin, and distribute them through the Siiibo platform. It plans to jointly underwrite bond and digital securities issues with its venture arm, Metaplanet Ventures, focusing on companies in crypto and decentralised finance. And it has a pilot for security tokens and other digitised financial instruments on its roadmap.

Simon Gerovich, Metaplanet's president and chief executive, said the company saw bitcoin as the base of a new financial ecosystem and that Siiibo's registration, bond platform and customer base gave it the tools to build one. He has also pointed to the large amount of cash Japanese households hold in deposits as demand for yield grows.

What happens next

Komura said combining the two companies' strengths in finance, technology and community building could create new ways of raising capital and new investment experiences. Under Metaplanet Securities, the bond platform becomes the channel through which Metaplanet plans to reach individual Japanese investors directly.

At about 2.1 billion yen the purchase is small next to Metaplanet's bitcoin holdings. Bitcoin Treasuries, which reported that the deal closed on July 13 and covered both Siiibo's common and preferred shares, wrote that the registration was the main asset Metaplanet was buying. Equity trading was not yet available through Metaplanet Securities at that point.
