Oxyzo, the lending arm of Indian B2B commerce company OfBusiness, has agreed to buy GoldenPi Technologies, an online platform for buying bonds and debentures, together with its wholly owned broking subsidiary GoldenPi Securities. Oxyzo's board approved the deal, which Inc42 reported on 19 May 2026 based on a regulatory filing.

The acquisition is structured as a share swap worth ₹42.4 crore (about $4.4 million). Oxyzo will issue about 3.11 lakh (311,000) equity shares with a face value of ₹10 each at a premium of ₹1,353 per share, on a preferential basis through a private placement, to GoldenPi's shareholders.

Oxyzo said the purchase takes it into retail wealth products, letting it offer fixed-income investments to retail and high-net-worth investors. The reports did not say whether GoldenPi's brand or team would change.

Who gets the shares

Most of the new shares go to GoldenPi's two founders. Abhijit Roy will receive about 1.15 lakh shares worth ₹15.7 crore (about $1.6 million) and Samir Baran Pratihar about 1.14 lakh shares worth ₹15.5 crore (about $1.6 million).

Rainmatter, the investment arm of brokerage Zerodha, will receive 53,422 shares worth ₹7.3 crore (about $760,000). A fourth shareholder, Utpal Hemendra Sheth, will receive 29,353 shares worth ₹4 crore (about $415,000). All four become shareholders in Oxyzo rather than receiving cash.

Together the four allocations account for roughly the ₹42.4 crore deal value. The shares are being issued at ₹1,363 each including the premium, which sets the price at which GoldenPi's holders become investors in Oxyzo.

What GoldenPi built

GoldenPi was founded in 2017 as an online platform for fixed-income investing. GoldenPi Securities is a debt broker licensed by the Securities and Exchange Board of India. The company says it has one of the largest online distribution networks for bonds and debentures in India, with more than 16 lakh (1.6 million) users who have invested over ₹6,000 crore (roughly $620 million) through the platform.

According to YourStory, Abhijit Roy and Samir Baran Pratihar started the platform after Roy struggled in 2016 to move his father's fixed deposit savings into debentures. YourStory described GoldenPi in 2022 as a Zerodha-backed startup that let retail investors buy and sell bonds and debentures through an online marketplace.

Early on, GoldenPi described its service as a robo-advisory tool that builds portfolios of bonds, non-convertible debentures and company fixed deposits for retail investors. In 2020 it raised about ₹3.5 crore (about $460,000) in a seed round led by Rainmatter Capital, according to Fintech Global. Its revenue and profit were not reported.

Why Oxyzo is buying

Oxyzo is a non-banking financial company that lends to small and medium-sized businesses for raw materials, machinery, supply chains and working capital. It has raised more than $264 million from investors including Z47, Hinduja Leyland Finance and AK Capital, and Inc42 described it as a fintech unicorn.

The company is profitable. In the first nine months of the 2026 financial year its net profit rose 7% to ₹267.4 crore (about $28 million) and its operating revenue rose 29% to ₹1,047 crore (about $109 million), Inc42 reported.

Anuj Sharma, Oxyzo's business head for fixed income, said the deal would strengthen its fixed-income products and help it take a larger share of a growing debt investment market.

A second new line this year

GoldenPi is Oxyzo's second move into a new area in 2026. In March it launched its first credit fund, an alternative investment vehicle that lends growth capital to mid-sized, investment-grade companies. The fund has announced a first close, has started deploying capital and is backed by wealthy individuals, family offices and institutions.

Buying GoldenPi gives Oxyzo a consumer-facing channel for debt products alongside its business lending and its credit fund, using an existing broking licence and user base rather than building one from scratch.
