Vertex, the US tax compliance software company, announced on May 7, 2026 that it had acquired Brinta, a Uruguayan startup that uses AI to automate tax calculation, electronic invoicing and tax filing in Latin America. Press coverage at the time said terms were not disclosed.
Vertex's quarterly filings with the US Securities and Exchange Commission later gave the figures. The company completed the purchase of all the equity of Finta Inc., Brinta's legal parent, on March 2, 2026, for total consideration of about $22.1 million, net of $40,000 of cash acquired. About $10.1 million of that went to settle Brinta's existing debt.
On top of the purchase price, Vertex granted the sellers restricted stock worth $8 million that vests over four years, and agreed to pay them $10 million in cash in two equal instalments on the first and second anniversaries of the deal. Both are conditional on the sellers continuing to work for Vertex, so the company accounts for them as compensation rather than as part of the price.
What Brinta built
Brinta was founded in Uruguay in 2023 by Michel Golffed, its chief executive, and Rodrigo Sánchez Prandi, its chief operating officer. Both previously worked at dLocal, the Uruguayan cross-border payments company.
Vertex's SEC filing describes Brinta as a provider of business-to-business integration services that specialises in indirect tax calculation, tax filing and e-invoicing. Chirag Patel, Vertex's chief strategy officer, wrote that Brinta built AI into its core architecture for onboarding and data mapping, for extracting data from invoices and for classifying products, steps that are slow and error-prone when done by hand.
The Brazilian publication Portal da Reforma Tributária reported that Brinta had 50 employees across the region and served financial companies including Nubank, Ebanx and Caju. Its tools handle government-mandated ancillary reporting obligations in Brazil, among them DESIF, e-Financeiras, DIMP, SIRTA and DeCript, the declaration for crypto assets.
“Our mission has always been to help businesses operate with confidence in some of the world's most demanding tax environments.”
Why Vertex is buying
Vertex is a US tax technology company. Its filing says it plans to fully integrate Brinta and use its e-invoicing capabilities to expand its coverage across Latin America straight away.
Patel wrote that Latin America has long required real-time, transaction-based tax compliance, which makes it one of the most complex regulatory environments in the world, and that this history offers a preview of where other regions are heading, and that Brinta's experience will support Vertex's global e-invoicing strategy for multinational customers.
Golffed said Brinta's mission had always been to help businesses operate with confidence in some of the world's most demanding tax environments, and that as part of Vertex it could bring its regional expertise into a broader global platform.
The founders and the funding
Brinta raised a seed round of R$25 million (about $5 million) in 2023, led by Kaszek Ventures with participation from DST Global Partners, 17Sigma, Broadhaven and Latitud. The money went into growing the company and adding features for clients.
Portal da Reforma Tributária reported that Brinta's founders would stay on to work on integrating and expanding the business under Vertex. The vesting stock and deferred cash in the deal give them a financial reason to do so for at least two years.
Vertex's run of deals
Brinta is not Vertex's first purchase in e-invoicing. In August 2024 it acquired Ecosio GmbH, in a deal that included stock and cash earn-outs tied to software revenue targets. Vertex's SEC filing for the second quarter of 2026 covers both deals in the same note on business combinations.
Vertex is listed on Nasdaq. Portal da Reforma Tributária reported that its 2025 revenue was about R$4 billion (about $748.4 million), up 12% from the year before, and that it was valued at about R$10 billion (about $2 billion) on the market. Vertex recorded $748,000 in transaction costs related to the Brinta deal in the first half of 2026.
